Re: Member Vote Results

The member vote on proposed changes to AAM’s Articles of Incorporation and Constitution closed on June 28. Members voted to approve changes in both documents. The Restated Articles of Incorporation and revised Bylaws (which incorporate several provisions of the previous Constitution) take effect immediately.

Approval to amend and restate the Articles of Incorporation required:

  • the number of ballots cast represents at least 3% of the membership, and
  • the number of “FOR” votes represents a majority of those participating in the vote.

Approval to amend the Constitution required:

  • the number of ballots cast represents at least 3% of the membership, and
  • the number of “FOR” votes represents two-thirds of those participating in the vote.

The 3% quorum was based on the number of members (individual and organizational) as of May 31, 2019. There were 37,487 members as of that date, meaning that 1,125 participating members were required to meet the 3% quorum.

Per best practice, AAM engaged a third-party vendor (Survey & Ballot Systems) to manage the voting process. Survey & Ballot Systems provided a report of the results.
